Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you (“you” or “User”) and Leighanne Lee LLC (“we,” “us,” or “our”), a Missouri limited liability company, governing your access to and use of Showvella at showvella.com (the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Our collection and use of personal information in connection with the Service is described in our Privacy Policy.


1. Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.


2. Accounts

a. Registration

To use the Service, you must create an account by providing a valid email address and password, or by authenticating through a supported third-party OAuth provider (such as Google).

b. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@showvella.com if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from your failure to protect your credentials.

c. Accurate Information

You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date.

d. Account Termination by You

You may delete your account at any time by contacting us. Deletion of your account will result in the permanent loss of your data, including stage plots, events, and input lists. This action cannot be undone.


3. Use of the Service

a. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

b. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Transmit spam, unsolicited messages, malware, or malicious code through or in connection with the Service
  • Use the Service in any manner that could disable, overburden, damage, or impair the Service or its underlying infrastructure
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated tools (bots, scrapers, crawlers) to access or extract data from the Service without our prior written permission
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Upload or transmit any content that is unlawful, harmful, obscene, or infringes on the rights of any third party
  • Attempt to circumvent any rate limits, access controls, or security features of the Service

c. API Access

We may, at our discretion, provide API access to certain features of the Service. Any use of the API is subject to these Terms and any additional API-specific policies we publish. We reserve the right to revoke API access at any time.


4. Organizations (Artists)

The Service allows you to create or join Artist organizations to collaborate with others. As an organization Owner or Admin, you are responsible for managing member access and roles. You represent that you have the authority to bind your organization to these Terms. We are not responsible for resolving disputes between members of an organization.

If you join an organization account, the organization owner or administrators may control and manage your access to the organization's data, including the ability to add or remove members and modify shared content.

Data created within an organization account — including stage plots, events, and technical riders — is associated with the organization, not individual members. The organization owner controls this data. If you leave or are removed from an organization, you may lose access to that organization's data.

If you use the Service to store or process personal data belonging to individuals who are not users of Showvella (such as venue contacts or production staff), you represent that you have obtained any necessary rights and permissions to store and share that information within the platform.


5. Intellectual Property

a. Our Content

The Service, including its software, design, graphics, asset library, and documentation, is owned by Leighanne Lee LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without our prior written permission.

b. Your Content

You retain ownership of the content you create using the Service, including stage plots, input lists, event data, and any other materials you upload or generate (“User Content”). By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, display, and process your User Content solely for the purpose of providing the Service to you.

c. Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction or compensation to you.


6. Subscriptions and Billing

a. Subscription Tiers

The Service is offered on a subscription basis across multiple tiers. Each tier provides access to different features and usage limits, as described on our pricing page at showvella.com. Features and usage limits associated with subscription tiers may change over time. We reserve the right to modify tier features and pricing at any time with reasonable notice.

b. Payment Processing

All payments are processed by Paddle, which acts as the Merchant of Record for all transactions. When you purchase a subscription, you are transacting directly with Paddle, and Paddle's terms of service and privacy policy apply to the payment transaction. We do not store your payment card information.

c. Billing Cycle

Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

d. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access to your subscription features until the end of the paid period.

e. Refund Policy

Except where required by applicable law, all purchases are non-refundable. However, we may issue refunds for billing errors or technical issues at our discretion. To request a refund, contact us at support@showvella.com. See our full Refund Policy for details.

f. Changes to Pricing

We reserve the right to change subscription pricing. We will provide at least 30 days' notice of any price changes via email or a notice within the Service. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.


7. Third-Party Services

The Service integrates with or relies on third-party services, including Supabase (infrastructure), Paddle (payments), and optional OAuth providers. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.


8. Disclaimers

The Service is provided “as is” and “as available,” without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

We may modify, suspend, or discontinue the Service or any portion of it at any time without notice or liability. We do not guarantee continuous, uninterrupted, or error-free availability of the Service.

While we take reasonable measures to protect and maintain User Content, we do not guarantee that User Content will not be lost, corrupted, or deleted due to technical failures, errors, or circumstances beyond our control. You are responsible for maintaining your own copies of any important data or content stored in the Service.


9. Limitation of Liability

To the fullest extent permitted by applicable law, Leighanne Lee LLC and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or loss of business, arising out of or in connection with these Terms or your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).


10. Indemnification

You agree to indemnify, defend, and hold harmless Leighanne Lee LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another person or entity.


11. Termination

a. By You

You may stop using the Service at any time and delete your account as described in Section 2(d).

b. By Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if we believe you have violated these Terms, engaged in conduct harmful to other users, third parties, or the Service, failed to pay applicable subscription fees, or engaged in suspected fraud or abuse.

c. Effect of Termination

Upon termination, your license to use the Service will immediately cease. We are not liable to you or any third party for any termination of your access. Sections 5 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law), and 13 (Dispute Resolution) will survive termination.


12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Missouri.


13. Dispute Resolution

We encourage you to contact us first at support@showvella.com to resolve any disputes informally. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in Missouri in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action.


14. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the “Last Updated” date at the top of this page. If we make material changes, we will notify you via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.


15. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Leighanne Lee LLC regarding the Service and supersede any prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
